By accessing our website or using our services, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, do not use our services.

We offer five customer packages:

• SmartOS Self-Service ($97/month): Access to the Billy SmartOS software, including CRM, lead pipelines, website and landing-page builder, forms, booking calendars, conversation tools, workflows, review request tools, and standard templates. You manage your own setup, website, campaigns, and workflows.
• Smart Site & Follow-Up ($297/month + $497 one-time setup): Billy SmartOS access plus one template-based website (up to five pages), one lead capture form, one lead pipeline, one booking calendar, two standard workflows, missed-call text-back configuration when supported phone service is connected, domain connection, basic on-page SEO, launch testing, one onboarding walkthrough, and up to 30 minutes of minor maintenance monthly (unused time does not roll over). Standard setup covers one location.
• Managed Growth ($497/month + $997 one-time setup): Everything in Smart Site & Follow-Up, plus one approved email or SMS customer campaign monthly, one monthly pipeline and performance review, a concise monthly activity report, and up to one hour of minor website or workflow improvements monthly (replacing the 30-minute allowance; unused time does not roll over).
• AI Growth Suite ($697/month + $1,297 one-time setup): Everything in Smart Site & Follow-Up, plus a configured AI website chat assistant, AI-assisted customer follow-up, and a monthly performance review. AI and SMS usage is metered, and overage is disclosed before activation.
• Business Automation Pro ($997/month + $1,997 one-time setup): Everything in AI Growth Suite, plus a configured AI phone receptionist, managed lead follow-up and pipeline, and monthly marketing assistance. AI call minutes are metered, and a quote is provided for estimated call volume.

Custom building, migration, campaign management, additional pages, complex integrations, advertising management, ongoing SEO content, daily social posting, additional campaigns, and complex development are quoted separately and are not included in the monthly package price.

Customer accounts are created manually by us. Each customer receives access only to their own subaccount with permissions appropriate to their package. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

We will never email plaintext passwords. Account invitations are sent through the platform's native invitation system. Setup is not considered complete merely because payment has been received; onboarding continues through the steps in your package-specific checklist.

For self-service customers, you are responsible for your own setup, website, campaigns, and workflows. For done-for-you services, you agree to provide accurate business details, logo and assets, service and service-area information, domain and integration requirements, and calendar availability in a timely manner.

You are responsible for ensuring you have the rights and consent to use any content, contact lists, and assets you provide. Campaigns use your existing eligible contact list, and you are responsible for compliance with applicable consent and do-not-disturb requirements.

You agree not to use our services for any unlawful purpose, to send unsolicited communications in violation of applicable law, to infringe the rights of others, or to misuse phone, text, email, or AI tools. We may suspend or terminate access for violations of these terms.

SMS text messaging is optional. You will not receive recurring automated SMS merely by providing a telephone number; SMS is sent only when you provide a mobile number and affirmatively opt in by checking the SMS consent box. By opting in, you consent to receive recurring automated SMS at the number provided; message frequency varies; message and data rates may apply. You may opt out at any time by replying STOP to any message, or reply HELP for assistance. SMS is delivered through third-party providers subject to carrier verification, program terms, and applicable charges as disclosed before activation. You represent that the number you provide is yours and that you are authorized to consent on its behalf.

Package prices and one-time setup fees are listed on our Pricing page. Phone numbers, calls, text messages, email delivery, premium AI, payment processing, and third-party services may carry additional charges. Applicable charges are disclosed before activation.

We do not promise unlimited communication usage, unlimited AI, or unlimited personal support. Billable add-ons are not enabled without your instruction. AI chat assistants and AI phone receptionists are included in the AI Growth Suite and Business Automation Pro plans as described in Section 2. They are not included in other plans and may be added only by written agreement. Premium AI usage and metered usage may carry additional charges, disclosed before activation.

Monthly subscription fees are billed in advance and are non-refundable. You may cancel your monthly subscription at any time by written notice (email or phone); cancellation takes effect at the end of your current paid billing period, and you retain access through that date. No prorated or partial refunds are issued for unused time within a billing period, including unused maintenance or improvement allowances.

One-time setup fees are non-refundable once work has commenced. If you cancel before work begins, the setup fee is refundable minus any costs already incurred. Any approved refunds are issued to the original payment method within a reasonable period. Chargebacks that bypass our cancellation process may result in account suspension pending resolution.

You retain ownership of all content, data, contact lists, logos, and assets you provide to us. We retain ownership of Billy SmartOS software, templates, methodologies, and our underlying platform. For done-for-you websites built on Billy SmartOS, you own your business content (text, images, and branding); the website is hosted on and powered by our platform and remains part of your account while active.

You may request an export of your account data (contacts, messages, and content you provided) in a standard format, subject to platform capabilities, with reasonable notice. Because Billy SmartOS is a managed platform, transferring your setup to another provider may require re-configuration; we will reasonably cooperate with your export request but do not guarantee compatibility with third-party systems.

On termination, access ends at the close of your paid billing period. We retain your data for a reasonable period to allow export and for recordkeeping, then may delete it unless retention is required by law.

Billy SmartOS and related materials are provided by Billy & Associates Inc. Attribution for the platform is “Billy SmartOS by Billy & Associates.” You retain ownership of content and data you provide. We retain rights to our software, templates, and methodologies.

Our services integrate with third-party tools for phone, text, email, payment processing, and other functions. We are not responsible for the performance, availability, or terms of third-party services. Additional charges from these providers may apply and are disclosed before activation.

AI chat assistants and AI phone receptionists are included in the AI Growth Suite and Business Automation Pro plans as described in Section 2. They are not included in other plans and may be added only by written agreement. Premium AI usage and metered usage may carry additional charges, disclosed before activation. We do not promise unlimited AI usage.

We help small businesses connect their website, leads, appointments, conversations, and follow-up. We do not guarantee revenue, leads, rankings, or any specific results. Your outcomes depend on many factors outside our control, including your market, effort, and business practices.

To the maximum extent permitted by law, Billy & Associates Inc. is not liable for indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim in the prior twelve months.

You may stop using our services at any time. We may suspend or terminate access for non-payment or material violation of these terms. When a client is marked inactive, future service tasks stop, but we do not automatically delete accounts or customer data. Upon termination, data handling is governed by Section 8.

We may update these Terms & Conditions from time to time. We will update the “Last updated” date above when we do. Continued use of our services after changes constitutes acceptance of the updated terms.
